These Terms and Conditions govern the basis on which Phaen Din Counsel ("we", "us", "our") provides legal services to clients ("you", "the client") and on which visitors use this website. Please read them carefully. By instructing us or by continuing to use this website, you accept these terms as the basis of our relationship.

If anything in these terms is unclear, please raise it with us before proceeding. We are happy to explain any provision in plain terms.

1. Definitions

In these Terms and Conditions, the following expressions have the meanings set out below:

  • "Agreement" means these Terms and Conditions together with any engagement letter or written confirmation we issue to you.
  • "Services" means the inheritance law services described on this website and in any engagement letter, including Land Title Inheritance Review, Agricultural Succession Planning, and Family Estate Restructuring.
  • "Client" means the individual or family who instructs us to provide Services.
  • "Engagement Letter" means the written confirmation we send you setting out the scope, fee, and terms of a specific piece of work.
  • "Website" means the website operated by us at the domain associated with this page.

2. Acceptance of terms

By submitting an enquiry through this website, by corresponding with us, or by instructing us to begin work, you confirm that you have read, understood, and accepted these Terms and Conditions. You confirm that you are at least 18 years of age and have the legal capacity to enter into an agreement.

These Terms and Conditions apply to all enquiries and engagements unless superseded by a specific written engagement letter agreed between us, in which case the engagement letter governs in the event of conflict.

3. Our services

We provide written inheritance law counsel to individuals and families in Thailand. Our current service offerings are:

  • Land Title Inheritance Review — a written review of how a title to land or immovable property is currently held and how it would pass under present arrangements, with a plain-language summary of options.
  • Agricultural Succession Planning — a written long-term plan for the continuation of farmland, orchards, or other agricultural property, including succession documents and an annual review schedule.
  • Family Estate Restructuring — a comprehensive written reconstruction of complex multi-generational holdings, structured family conversations, relevant restructuring documents, and a final written record of the new arrangement.

The precise scope of the work we will undertake for you is set out in the Engagement Letter we issue before work begins. We do not commence substantive work without issuing and receiving confirmation of an Engagement Letter.

Our Services are available to clients based in Thailand and to those with property interests in Thailand. We do not provide Services in relation to property outside Thailand. Availability of Services may be subject to conflicts checks and other professional requirements.

4. Enquiries and no obligation

Submitting an enquiry through this website, by email, or by telephone does not create a client relationship or any obligation on either side. A client relationship is formed only when we have issued and you have confirmed an Engagement Letter and, where applicable, a fee arrangement.

We will always respond to an initial enquiry in writing, describing whether and how we may be able to assist. This response does not constitute legal advice and should not be relied upon as such.

5. Fees and payment

Our fees for each service are set out on our website and confirmed in the Engagement Letter. All fees are stated in Thai Baht (THB) and are inclusive of standard document preparation unless otherwise specified.

Current service fees:

  • Land Title Inheritance Review — ฿4,300
  • Agricultural Succession Planning — ฿11,800
  • Family Estate Restructuring — ฿14,500

We reserve the right to adjust fees for matters of unusual complexity, and we will always notify you in writing before any adjustment takes effect. You are under no obligation to proceed if you do not agree with a fee adjustment.

Payment terms are set out in the Engagement Letter. Unless otherwise agreed, a proportion of the fee is payable on confirmation of instructions, with the balance due on delivery of the written output. We accept bank transfer in Thai Baht to our designated account, details of which are provided in the Engagement Letter.

6. Refunds and cancellation

If you wish to withdraw your instructions before work has commenced, we will refund any amounts paid in full. If work has commenced, we will refund any amounts paid that fairly represent work not yet undertaken, assessed at our reasonable professional rate.

Where a matter is more complex than initially appeared, we will pause and discuss the position with you in writing before continuing. No additional fee will apply without your prior written agreement.

We reserve the right to withdraw from a matter if it becomes apparent that we are unable to act — for example, due to a conflict of interest or a change in circumstances. In such a case, we will notify you promptly in writing and refund any amounts paid for work not yet delivered.

7. Confidentiality

We treat all information you share with us as strictly confidential. We will not disclose your personal or family information, the details of your property, or the content of our work for you to any third party, except:

  • where disclosure is required by law or by order of a competent court
  • where disclosure is necessary to complete the work — for example, to a government land office
  • where you have given your explicit written consent to a specific disclosure

Our confidentiality obligations continue after the conclusion of an engagement.

8. Intellectual property

The written documents, notes, plans, and records we produce in the course of your matter are prepared for your personal use in relation to the matter described in the Engagement Letter. You may retain and use them for that purpose. You may not reproduce, adapt, or distribute them for any commercial purpose without our prior written consent.

All content on this website — including text, design, and structure — is owned by or licensed to Phaen Din Counsel and is protected by applicable intellectual property law. Nothing on this website grants any licence to use our content for any purpose other than personal reference.

9. Disclaimer of warranties

We carry out our work with professional care and diligence. However, the law and the facts of any given situation can be uncertain, and we cannot warrant any particular outcome in relation to a matter. Our written outputs represent our professional assessment based on the information available to us at the time of preparation.

The information on this website is provided for general reference only. It does not constitute legal advice and should not be relied upon as a basis for any decision. You should seek specific written advice in relation to your own circumstances before taking any action.

10. Limitation of liability

To the extent permitted by law, our liability to you in connection with any matter or with the use of this website is limited to the fees paid by you for the specific service to which the claim relates. We are not liable for indirect, consequential, or special losses, or for losses arising from circumstances outside our reasonable control.

Nothing in these terms limits our liability for fraud, wilful misconduct, or any matter that cannot be excluded by law.

11. Children and capacity

Our Services are intended for adults aged 18 and over who have the legal capacity to enter into agreements and to instruct professional advisers. We do not knowingly accept instructions from or provide advice directly to minors. Where a matter involves the interests of a minor, we expect to receive instructions from an adult with appropriate legal authority.

12. Website use

You may use this website for lawful purposes only. You must not use this website in any way that disrupts or damages its operation, or that infringes the rights of any other person. We reserve the right to restrict access to this website without notice if we reasonably believe that these terms have been breached.

13. Governing law and dispute resolution

These Terms and Conditions are governed by the laws of Thailand. Any dispute arising in connection with these terms or with our Services shall be subject to the exclusive jurisdiction of the courts of Thailand, with Bangkok as the primary venue unless otherwise agreed in writing.

Where a concern or disagreement arises, we ask that you first raise it with us directly so that we have the opportunity to address it informally. We take client concerns seriously and will respond in writing within five working days.

14. Changes to these terms

We may update these Terms and Conditions from time to time. The current version will always be available on this page, with the effective date indicated at the top. Continued use of our website or continuation of an existing engagement following an update does not constitute acceptance of changes that materially affect an existing engagement; we will notify you directly if any such change may affect a matter already in progress.
